Member-Investor Trip travel is an “Additional Opportunity” as defined and further detailed in your Inspirato Documents.  The following Additional Opportunity Rules, Terms, and Conditions apply to the Member-Investor Trip Additional Opportunity, which you wish to reserve or have reserved. Unless otherwise modified below, your participation in the Member-Investor Trip Additional Opportunity is subject to your Inspirato Documents. All capitalized terms not otherwise defined herein shall have the meanings prescribed to them in your Inspirato Documents.

 

 OVERVIEW OF MEMBER-INVESTOR TRIP TRAVEL

A “Member-Investor” is referred to as an Inspirato Member who is also a confirmed holder of Inspirato Incorporated Class A stock (NASDAQ: ISPO) ("Inspirato Stock”). Member-Investor Trip travel allows qualified Member-Investors the opportunity to book a lifetime limit of up to five (5) complimentary Member-Investor Trips from the Member-Investor Trip List, as set by Operator and further described below.

 

ELIGIBILITY FOR MEMBER-INVESTOR TRIPS 

Member-Investors who are in Good Standing are eligible to receive one (1) complimentary Inspirato Member-Investor Trip for every 2,500 shares of Inspirato Stock held continuously for six (6) months on or after May 9, 2023 (subject to the terms and share requirements detailed below around the October 17, 2023 reverse stock split), with a lifetime limit of up to five (5) Member-Investor Trips to any Member-Investor (as detailed below).  Member-Investor Trips must be for personal use only and may not be shared unless the Member-Investor is enrolled in Family Sharing or Premium Sharing, or as otherwise permitted by Operator, in Operator’s sole discretion. In order to receive a Member-Investor Trip, the Member-Investor must first receive an Member-Investor Trip voucher by contacting Operator by email at IR@inspirato.com to confirm its Inspirato Stock holdings, which is subject to providing sufficient evidence of the same, as determined in Operator’s sole discretion.

October 17, 2023 Reverse Stock Split

On October 17, 2023, Inspirato authorized a 1 for 20 reverse stock split, thereby consolidating the number of existing shares of Inspirato Stock held by shareholders. When the member-investor benefit was enacted on May 9, 2023, the required holding was 50,000 shares but as of October 17, 2023 only, the required holding changed to 2,500 shares. When calculating the six-month holding period for any time prior to October 17, 2023, 50,000 shares were still required while 2,500 shares are required for any time thereafter. For example, if a Member-Investor held 50,000 shares from May 9 – October 16, 2023, and then 2,500 shares from October 17 – November 9, 2023, the Member-Investor will be eligible for the benefit.

 

RESERVATION BOOKING, MODIFICATION, AND CANCELLATION POLICIES 

Member-Investor Trips have special reservation booking, modification, and cancellation rules, which are as follows:

 

Member-Investor Trip Booking Policy

Only qualifying Member-Investors may book Member-Investor Trips from the Member-Investor Trip List.

Member-Investor Trips must be completed within one (1) year of issuance of the applicable Member-Investor Trip voucher otherwise the trip is forfeited.

Member-Investor Trips are inclusive of applicable nightly rates, taxes, and fees. Transportation to and from Member-Investor Trip destinations, along with food, beverage, and entertainment expenses are not included.

 

Member-Investor Trip Modification Policy

After booking, Member-Investor Trips may not be modified in any way except as detailed in the Member-Investor Trip Cancellation Policy below.

 

Member-Investor Trip Cancellation Policy

The following cancellation policies apply to Member-Investor Trip reservations for the indicated timeframes.

30+ days from arrival	Member-Investor Trip can be rebooked (subject to Inspirato Documents)
29 days or less from arrival	Not Able to Rebook Member-Investor Trip is forfeited

 

TAX IMPLICATIONS   

You acknowledge that Member-Investor Trips may have tax implications and Operator is required to issue a Form 1099 to any Member-Investor who receives a Member-Investor Trip through the Member-Investor Benefit.  If you participate in the Member-Investor Benefit, you agree to complete and provide any necessary tax forms associated with any Member-Investor Trips received.  Operator makes no warrant or representation regarding the tax implications to you of the Member-Investor Benefit, for which you agree to be entirely responsible for.

 

GENERAL DISCLAIMERS  

Member-Investor Trip reservations may only be made for the specific dates and accommodations offered on the Member-Investor Trip List.

Member-Investor Trip reservations are bookable on a first-come, first-served, space available basis.

Member-Investor Trip availability is determined by Operator in its sole discretion and may be modified with or without notice.
