As a thank you for your support and loyalty, all Inspirato members in good standing are eligible to receive one complimentary Inspirato vacation for every 2,500 shares of Inspirato Class A stock they own and hold for at least six months (up to five), subject to the terms and share requirements detailed below around the October 17, 2023 reverse stock split. This benefit is subject to change and termination at any time.

Simply own and hold the required number of Inspirato Class A stock for six months. Once you reach the six-month threshold, let us know and we’ll request a brokerage statement as documentation. Please note, determining proof of ownership and fulfillment of the holding period is subject to Inspirato’s sole discretion.

The six-month holding period requirement is measured from the date you initially hold 2,500 shares of Inspirato Class A stock. For example, if your brokerage statement indicates that you purchased 2,500 shares on November 1, 2023, the holding period requirement is satisfied as of May 1, 2024. Please note that the holding period is subject to the consolidation of shares affected by the reverse stock split, as described below, whereby 50,000 shares were required prior to October 17, 2023.

On October 17, 2023, Inspirato authorized a 1 for 20 reverse stock split, thereby consolidating the number of existing shares of Inspirato Class A stock held by shareholders. When the member-investor benefit was enacted on May 9, 2023, the required holding was 50,000 shares but after the reverse stock split only, the required holding changed to 2,500 shares. When calculating the six-month holding period for any time prior to October 17, 2023, 50,000 shares were still required while 2,500 shares are required for any time thereafter. For example, if a member held 50,000 shares from May 9 – October 16, 2023, and then 2,500 shares from October 17 – November 9, 2023, the member will be eligible for the benefit.

Any Inspirato Class A shares you already hold counts toward the current 2,500 share requirement and the pre-reverse stock split requirement of 50,000 shares. For example, if you already held 50,000 shares when this benefit was introduced, the six-month holding period as to those shares began on May 9, 2023. If you already held 25,000 shares on May 9, 2023, you could satisfy the requirement by purchasing an additional 25,000 shares prior to October 17, 2023, or an additional 1,250 shares as of October 17, 2023, and the six-month holding period as to the combined shares begins as of the date of your additional purchase.

You can book and take your complimentary trip any time after you satisfy the six-month holding requirement as to each 2,500 shares. Your trip must be booked one year from that same date.
